Terms of Service

Please read these Terms of Service ("Terms") carefully before using AI Council ("the Application") operated by Techniciti SARL ("we", "us", or "our").
1. Acceptance of Terms
By downloading, installing, or using AI Council, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Application.
2. Description of Service
AI Council is available as separate applications for macOS and iOS (iPhone and iPad) that enable users to query multiple AI language models simultaneously, facilitating peer review among the models and synthesising responses. The Applications act as an interface between you and third-party AI service providers. Each platform requires a separate purchase.
3. User Requirements
3.1 System Requirements
To use AI Council, you must have:
For macOS:
- A Mac computer running macOS 14.0 (Sonoma) or later
- An internet connection (for cloud AI providers)
- Valid API keys from at least one supported AI provider (unless using only local models)
For iOS:
- An iPhone or iPad running iOS 17.0 or later
- An internet connection
- Valid API keys from at least one supported AI provider
Note: Local model support (Ollama, GGUF files) is available on macOS only.
3.2 Age Requirement
You must be at least 13 years of age to use AI Council. If you are under 18, you must have permission from a parent or legal guardian.
4. Third-Party Services
4.1 AI Provider Services
AI Council integrates with third-party AI providers including but not limited to OpenAI, Anthropic, Google, xAI, and others. Your use of these services is subject to their respective terms of service:
- You are responsible for obtaining and maintaining valid API keys
- You are responsible for all usage charges incurred through your API keys
- You must comply with each provider's usage policies and acceptable use guidelines
- We are not responsible for the availability, performance, or policies of third-party providers
4.2 API Key Responsibility
You are solely responsible for:
- Keeping your API keys secure
- All activity that occurs using your API keys
- Monitoring your usage and associated costs
- Complying with the terms of service of each AI provider
5. Acceptable Use
You agree not to use AI Council to:
- Violate any applicable laws or regulations
- Infringe upon the rights of others
- Generate content that is harmful, threatening, abusive, or otherwise objectionable
- Attempt to circumvent usage limits or abuse AI provider services
- Reverse engineer, decompile, or disassemble the Application
- Remove or alter any proprietary notices or labels
- Use the Application for any purpose that could harm Techniciti SARL or third parties
6. Intellectual Property
6.1 Application Ownership
AI Council and its original content, features, and functionality are owned by Techniciti SARL and are protected by international copyright, trademark, and other intellectual property laws.
6.2 Your Content
You retain all rights to the content you create using AI Council. We do not claim ownership over your conversations, queries, or any outputs you generate.
6.3 AI-Generated Content
The ownership and usage rights of AI-generated content are subject to the terms of service of the respective AI providers. We recommend reviewing each provider's policies regarding output ownership.
7. Licence
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use AI Council for personal or commercial purposes on devices you own or control.
This licence does not include the right to:
- Modify, adapt, or create derivative works of the Application
- Distribute, sublicense, or transfer the Application to third parties
- Use the Application for purposes that compete with our business
8. Privacy
Your privacy is important to us. Please review our Privacy Policy, which describes how we handle information in connection with the Application. By using AI Council, you agree to our Privacy Policy.
9. Disclaimers
THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We do not warrant that:
- The Application will meet your specific requirements
- The Application will be uninterrupted, timely, secure, or error-free
- The results obtained from AI providers will be accurate or reliable
- Any errors in the Application will be corrected
9.1 AI Output Disclaimer
AI Council facilitates access to AI language models that may produce inaccurate, biased, or inappropriate content. You acknowledge that:
- AI-generated responses should not be relied upon as factual without verification
- AI outputs may contain errors, hallucinations, or biases
- You are responsible for reviewing and validating any AI-generated content before use
- We are not responsible for decisions made based on AI outputs
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TECHNICITI SARL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, data, or business opportunities
- Costs of procurement of substitute services
- Any damages arising from your use of third-party AI services
- Any damages resulting from reliance on AI-generated content
OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APPLICATION.
11. Indemnification
You agree to indemnify and hold harmless Techniciti SARL and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your use of the Application
- Your violation of these Terms
- Your violation of any third-party rights
- Content you generate or share using the Application
12. Updates and Changes
12.1 Application Updates
We may release updates to AI Council from time to time. These updates may include new features, bug fixes, or security patches. Your continued use of the Application after updates constitutes acceptance of any changes.
12.2 Terms Updates
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date. Your continued use of the Application after changes constitutes acceptance of the modified Terms.
13. Termination
We may terminate or suspend your access to AI Council immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:
- Your licence to use the Application terminates
- You must cease all use of the Application
- Provisions that by their nature should survive termination will remain in effect
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Strasbourg, France.
15. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Techniciti SARL regarding the use of AI Council and supersede any prior agreements.
